1. Agreement Overview

This End User License Agreement ("Agreement") is a legal contract between you ("User," "Merchant," or "you") and Seerly LLC ("Seerly," "we," "us," or "our") regarding your use of the Seerly financial intelligence application ("App" or "Service").

By downloading, installing, accessing, or using the Seerly App, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy.

2. Financial Data Integration and Usage

Financial Data We Access:

To provide our financial intelligence services, Seerly accesses financial data from your connected accounts through secure financial data providers (including Plaid and Clover). This includes:

  • Account Information: Account types, names, and basic account details
  • Transaction Data: Transaction details, amounts, dates, descriptions, and categories
  • Business Data: For business accounts, order information, inventory data, and business metrics
  • Authentication Tokens: Secure access tokens to maintain authorized connections

How We Use Your Financial Data:

  • Generate real-time financial insights and analytics
  • Calculate your Economic Health Score
  • Provide cashflow analysis and forecasting
  • Identify spending patterns and optimization opportunities
  • Deliver AI-powered financial recommendations
  • Create personalized financial dashboards and reports

3. Zero-Storage Privacy Architecture

Seerly operates on a zero-storage privacy model:

  • No Financial Data Storage: We do not permanently store your transaction data or account information on our servers
  • Real-Time Processing: Financial data is fetched, analyzed, and discarded in real-time
  • Token-Only Storage: We only store encrypted access tokens necessary for secure connectivity
  • Temporary Insights Caching: Generated insights may be temporarily cached for performance, but underlying financial data is not retained
  • Complete Control: You can revoke access and delete all stored information at any time

4. License Grant and Restrictions

4.1 License Grant

Subject to the terms of this Agreement, Seerly grants you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal or business financial management purposes.

4.2 Restrictions

You agree NOT to:

  • Reverse engineer, decompile, or disassemble the App
  • Use the App for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to other users' data or accounts
  • Share your account credentials with unauthorized parties
  • Use the App in a manner that violates any applicable laws or regulations
  • Export or re-export the App in violation of applicable export control laws

5. User Responsibilities

5.1 Account Security

  • You are responsible for maintaining the security of your account credentials
  • You must promptly notify us of any unauthorized use of your account
  • You are responsible for all activities that occur under your account

5.2 Data Accuracy

  • Seerly's insights are based on data provided by your financial institutions
  • You are responsible for ensuring the accuracy of your source financial data
  • Seerly is not responsible for errors in data provided by third-party financial institutions

6. Functional Use Cases

The Seerly App is designed to help users:

  • Monitor and analyze personal or business financial performance
  • Track spending patterns and identify optimization opportunities
  • Understand cash flow trends and forecast future financial needs
  • Receive personalized financial insights and recommendations
  • Manage recurring expenses and revenue streams
  • Assess overall financial health through our Economic Health Score

7. Data Security and Compliance

7.1 Security Measures

  • End-to-end encryption for all data in transit
  • Secure cloud infrastructure hosted on AWS
  • Regular security audits and vulnerability assessments
  • Compliance with industry standards for financial data protection
  • Strict access controls and employee security training

7.2 Regulatory Compliance

Seerly maintains compliance with applicable financial regulations and data protection laws, including but not limited to CCPA, GDPR, and relevant financial privacy regulations.

8. Service Availability and Support

8.1 Service Level

While we strive for maximum uptime, Seerly is provided "as is" without warranty of uninterrupted service. We may occasionally perform maintenance that temporarily affects service availability.

8.2 Customer Support

Support is available through the App and via email at support@seerly.com. We aim to respond to support requests within 24 hours during business days.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEERLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEERLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE APP.

Our total liability to you for all claims arising from this Agreement shall not exceed the amount you have paid to Seerly in the twelve (12) months preceding the claim.

11. Term and Termination

11.1 Term

This Agreement begins when you first use the App and continues until terminated by either party.

11.2 Termination Rights

  • You may terminate this Agreement at any time by discontinuing use and deleting the App
  • We may terminate your access if you violate this Agreement or applicable laws
  • Either party may terminate with reasonable notice

11.3 Effect of Termination

Upon termination, your license to use the App ends immediately, and we will delete any stored tokens and cached data associated with your account within 30 days.

12. Updates and Modifications

12.1 App Updates

We may update the App to improve functionality, security, or compliance. Some updates may be automatic, while others may require your action.

12.2 Agreement Changes

We may modify this Agreement with reasonable notice. Continued use after the effective date constitutes acceptance of the updated terms.

13. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Seerly regarding your use of the App. This Agreement supersedes all prior agreements, understandings, and communications between the parties.

By using the Seerly App, you acknowledge that you have read, understood, and agree to be bound by this End User License Agreement.
